We are looking for an experienced Company Secretarial Manager to join our growing team. This role offers the opportunity to lead our corporate secretarial services, supporting clients with company reorganisations, corporate transactions, and legal compliance.
As part of our team, you’ll manage a diverse portfolio of clients, provide expert advice on company law, and ensure governance best practices are met.
Key Responsibilities:
- Oversee the corporate secretarial services team, ensuring regulatory compliance and efficient service delivery.
- Deliver on KPIs for the Company Secretarial team.
- Assist with due diligence, corporate restructuring, mergers, and acquisitions.
- Advise clients on company law matters, including shares, company formations, and voluntary strike-offs.
- Draft and review Board Minutes, Members Resolutions, Companies House documents, and Share Certificates.
- Maintain statutory records and manage company secretarial software.
- Oversee client onboarding and compliance with corporate governance regulations.
- Prepare and file Confirmation Statements and ERS returns, identifying reportable transactions.
- Develop strong relationships within the firm and with external legal advisors.
Requirements:
- Qualified Solicitor/Legal Executive or ICSA/CGI qualified, with a minimum of 5 years’ experience in a similar role.
- Strong knowledge of UK company law, corporate governance, and regulatory frameworks.
- Excellent organisational and time-management skills, with the ability to manage multiple priorities.
- High level of technical expertise and commercial awareness.
- Strong communication and interpersonal skills.
- A proactive, detail-oriented, and professional approach.
- Confidence to challenge processes and drive continuous improvement.
